Pc is Not Boot up

Hello sir,
my name is Divyesh ...
Sir my pc is not booting up... it froz at sumtimes Company logo (Hp) or at sumtimes after comany's logo...i had read all ur ans regardng it...n tried bt still its nt wrk...
- 1st i thought it may b Ram prob. bt i had checked it in another pc.. bt it properly working..

- i cheked motherbrd also by removng Ram frm MB.. bt i heard continuous beep sound that means it's also okk...

Cpu is also heating...ODD is also spin...

bt not boot up.. I tryed to format it bt when i put W- xp cd in odd it work few mins.. means after press for boot... option it proceed for setup.. bt again it froz ..

Plzz Help me...
