Comparing 2 cells to get an answer

Hello,
I am a primary school teacher and I really really need helps on this matter.
Excel is something new to me and my boss asked me to help him on finding grades and rank for the students. I recorded their marks n grades according to subjects tested. I set total and percentage for them but I can't rank them according to the requirement cause I'm totally blank on setting a formula on how to rank students by comparing their grade and status.

This is what I am trying to do...but i have no clue on how to do it.

Please help me! :((

Cell1 (XM Grade/point) - lesser is the best (number between 1.0-5.0)

Cell2 (Pass/Fail) --> student's status

Cell3 Rank --> excellent grade/point and pass get 1st rank

example
Point Status Rank
1.4 PASS 1
1.5 FAIL 4
1.6 PASS 2
4.4 PASS 3

I really want to help but I honestly don't understand what you need.
can you explain so I can work it out for you.
Cell 1 = what exactly is (lesser)?
Cell 2 = Pass / Fail --> depends on cell 1?
Cell 3 = rank depends on cell 1 and cell 2?
