Hello,
i want to uograde from this specs:
cpu:e2180 2.0ghz(overclocked to 2.4)
videocard:nvidia 9400 gt 1gb :)
ram:2gb
motherboard:gigabyte:p31-es3g
psu:450 w

to this specs:
cpu:intel core 2 duo e7300 2.6ghz
ram:same
videocard:nvidia:9800 gt maybe palit geforce gts 250 512 or 1gb
others:same

is this one good for gaming?
can i play latest games on high not on max settings without lag?

Honnestly speaking am not sure it will be without lag for most recent games, the game development market is a quite changing and constantly evolving one, the pc you might buy today, may be not powerful enough today. But the config seem a quite comfortable one.

i would suggest you to make a small list of game you like, and have a look at the recommended requirement to play them.

yes but look at this it is official system requirements for ex:world in conflict :Operating system:
reccomended: Processor: AMD Athlon(tm) 64 X2 4400+ /
Intel Core 2 Duo E6400
Display Card!: NVIDIA GeForce 8800 640MB /
ATI Radeon HD 2900 512MB
Memory: 2048MB
Free Disk Space: 8gb
Operating System: Windows XP, Windows Vista
let's compare this game's requirements and my future pc:)(sorry for little language lagging:D)
videocard:palit geforce gts 250 is little better than NVIDIA GeForce 8800 640MB and than ati HD 2900 http://www.pcper.com/article.php?aid=674
cpu: E7300 is better than E6400 and than AMD Athlon(tm) 64 X2 4400+
so? is this comp good (not great) for gaming?on this settings 1280x1050 high and medium settings?
