Hey Sonu,
I personally never got the ICS working myself, I would suggest bridging your two network cards and following these steps:

The forum in that link shows how to bridge the wireless connection to the regular LAN connection, but the same principles apply for bridging two LAN connections to share your internet with the second PC.
If you have any issues following this guide, let me know and I can simplify it if need be.
P.S. at the bottom of the page where it says you need a crossover cable, that is untrue, I have used a regular cat5 for it.
