Not able to format me USB

Hello,
I bought a kingston datatraveller of 40 GB. Now when I insert it in my computer and try to open it, it shows that the disk is not formatted and when I try to format it, it says that windows cannot format this disk. please help me. (I use windows xp])

Right click on My computer on desktop--> manage--> disk management--> see the Pendrive you used on your pc-->select it-->right click on it-->format.
