I think you mean the usb flash drive will not format. Am I correct?
If it is Write Protected, you have to do an unlock either via tiny unlock switch on it, or, via Windows -- that I have no idea on how to walk you through.
If it refuses to be formatted, it might be a presently failed flash drive.
