Windows validation

Hello,
I am getting a warning message that my copy of windows has not passed genuine windows validation. A friend advised me to get a genuine copy of windows XP Pro, which i have now got. Do i need to install using the disk,(if so can i install it over the one already on my computer?) or do i just type in the new license key into the window that comes up when i click on more information. Any help please.
