WD my passport, FAT32 formatting

Hello,
I need to Format my WD my passport 750gb hard drive I just got.
as the format is NTFS, I need to format it to FAT32.
but it come up with this message when I try to format it on the disk utility:
'Partition failed with the error:
Could not unmount disk'

Help would be greatly appreciated!
